1. Acceptance of Terms
By accessing and using the Iconiq School Management System ("Software"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you may not use the Software. These terms apply to all users, including school administrators, teachers, students, parents, and guardians.
2. Description of Services
Iconiq is a cloud-based school management system that provides comprehensive tools for:
- Student information and enrollment management
- Attendance tracking and monitoring
- Academic records, grades, and transcripts
- Staff and payroll administration
- Parent and student communication portals
- Fee and billing management
- Performance analytics and reporting
The Software is provided as a subscription-based service delivered through cloud infrastructure. We reserve the right to modify, update, or discontinue features with reasonable notice.
3. User Eligibility
You represent that your institution (school, college, or educational organization) is legally registered and authorized to enter into binding contracts. Users must be at least 18 years of age or have authorization from a legal guardian. Schools are responsible for ensuring that all users granted access comply with these terms.
4. Account Responsibilities
The institution is responsible for:
- Maintaining confidentiality of login credentials and account access
- Ensuring authorized use of the account within institutional boundaries
- Promptly notifying us of any unauthorized access or security breaches
- Accuracy of information provided during registration and ongoing use
- Compliance with local education regulations and data protection laws
You are responsible for all activities conducted under your account. We are not liable for unauthorized access resulting from your failure to safeguard credentials.
5. Acceptable Use Policy
You agree not to use the Software for:
- Any illegal, unauthorized, or unethical purposes
- Harassment, bullying, or threatening behavior toward other users
- Distribution of malware, viruses, or harmful code
- Unauthorized access to other users' data or accounts
- Commercial purposes outside your institution's scope
- Reverse engineering, decompiling, or attempting to derive source code
- Violating intellectual property rights of the Software or third parties
Violations of this policy may result in immediate suspension or termination of your account.
6. Data Ownership & Access
Data Ownership: All educational data, student records, institutional information, and content uploaded to Iconiq ("Your Data") remains your property. We do not claim ownership of Your Data.
Our Rights: We retain the right to use anonymized, aggregated data for service improvement, analytics, and security purposes, provided no institution or individual is identifiable.
Data Access Upon Termination: Upon subscription termination, you may export your data in standard formats within 30 days. After 60 days, we may delete all data associated with your account.
7. Subscription, Billing & Payment
Billing Cycle: Subscriptions are billed annually or monthly based on your selected plan. Billing occurs at the beginning of each cycle.
Price Changes: We may adjust pricing with 30 days' written notice. Continued use after notification constitutes acceptance of new pricing.
Payment Failure: If payment fails, we will attempt retry. Continued non-payment may result in service suspension after 14 days of notice.
Refunds: Refunds are provided within 14 days of subscription purchase, provided the Software has not been actively used. No refunds for service suspensions due to policy violations.
8. Service Availability & Uptime
We strive to maintain 99.5% uptime for the Software. However, we do not guarantee uninterrupted service. Scheduled maintenance, security updates, and emergency fixes may require temporary unavailability with advance notice where possible.
We are not responsible for any data loss or service interruptions caused by factors beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
9. Limitation of Liability
To the fullest extent permitted by law: Iconiq and its officers, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of business, or loss of profits, even if advised of the possibility of such damages.
Our total liability for any claim arising from use of the Software shall not exceed the total amount paid by you in the 12 months preceding the claim.
10. Intellectual Property
All Software, documentation, trademarks, logos, and content created by Iconiq remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the Software solely for your institution's educational purposes.
11. Termination & Suspension
Termination by You: You may terminate your subscription at any time by notifying us in writing. Service will end at the end of your current billing cycle.
Suspension/Termination by Us: We may suspend or terminate your account immediately if you:
- Violate these Terms & Conditions
- Engage in illegal or harmful activities
- Fail to pay subscription fees after 30 days of notice
- Pose a security risk to the Software or other users
12. Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the jurisdiction of courts in Kanpur, Uttar Pradesh, India.
13. Changes to These Terms
We may update these Terms at any time. Material changes will be communicated with 30 days' notice. Your continued use of the Software constitutes acceptance of updated Terms.
